GENERAL TERMS & CONDITIONS FOR APPOINTING FRANCHISEE DISTRIBUTOR:

The franchisee distributor shall display the company name & logo as designed by the company for printing his / her personal stationery (with prior permission). However the franchisee distributor shall not use any trademark, patent or any other intellectual properties of the company for any other purpose other than the promotion of business of the company. The company reserves the right of termination of any distributor without, giving any prior notice or clarification.

The company shall have the right to make any amendment if necessary at any time and the ‘Franchisee distributor’ shall abide by such changes.

The management reserves the right to reject any application without assigning any reason thereof .

Any message given by the company to the applicant, shall be conclusive and deemed as properly served legal notice.

SCORTIS reserves the right to change the price or discontinue any product without any prior notice and if so, the price at the time of delivery will be applicable.

Franchisee distributor will be responsible for any wrong information, such as D.L. No., ST/CST No. & Doctor Reg. No. given to company. Any penalty imposed by Govt. Dept. in this concern will be born by distributor.

Scortis shall not be liable for any incidental or consequential damages caused by its breach, cancellation or suspension of this agreement, whether or not the possibility for such damages is known to SCORTIS.

Distributor is an independent contractor ( for all purposes including tax and otherwise), and is not an employee, legal representative or agent of SCORTIS or of any other SCORTIS distributor, nor is a partnership created between the distributor and SCORTIS or any other SCORTIS distributor by this agreement.

Agreement term – Initially in the beginning the agreement term for franchisee distributor is twelve months from the date of approval first order. And the same may be renewed if the dealings between SCORTIS & the franchisee distributor is smooth and fair and the performance of the distributor is satisfactory.

All disputes will be have legal Jurisdiction in Jaipur, Rajasthan only.

The acceptance of an order is subject to the following conditions and terms of supply :

Prices :

Ex godown, subject to market fluctuations and are exclusive of sales tax and other local taxes as applicable.

V.A.T / Raj.Sales Tax :

For Supplies within the state R.S.T. extra as per Govt. Rules. Present rate of Tax is 4% V.A.T.

Central Excise :

The rates mentioned in the product list are inclusive of Central excise duty.

Road Permit :

wherever applicable should accompany the order, failing which the order will not be executed till such time the same is received.

Insurance :

All goods are packed with utmost care and forwarded at customer’s risk. All our customer’s are requested to make their own arrangements to insure the goods. No responsibility is taken for breakages or loss in transit. Such claims should be sent to the carriers and / or insurance company without delay. Goods can be insured at the customer’s request @ 1.5% of the invoice value. Charges for insurance will be claimed on the invoice itself.@ 1.5% of the invoice value. Promotional Material :

Promotional material like Visual aid, M.R.Bag, Empty catch cover’s of Physician samples, Literatures, Product profile, Reminder cards and other routine gift items can be supplied free of cost.
